Ludus S.A. has sold its operational company Ecap Esport Ltd to Ludus indirect main owners which is the English company Esboz Ltd.

Esboz is now in the process of listing Ecap on the UK Stock Exchange through a so-called Reversed Take Over (“RTO”) of an already listed company.

The RTO process will include a name change whereby the listed entity will be re-named to Pure Sport Group PLC, (“PSG”) as well as the app renamed to PURE.

The sale of Ecap to Esboz was paid through a Debt Note which will be repaid with shares in PSG which results in Ludus becoming a major owner in PSG with a consequent positive effect on Ludus equity.

The listing of PSG is expected to be finalised latest during August 2024.
